Terms of Service

1. Acceptance of Terms
By accessing or using the DigiCards mobile application and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and DigiCards ("we," "us," or "our"). We may update these Terms from time to time, and your continued use of the Service after such changes constitutes acceptance of the new Terms.
2. Eligibility
To use the Service, you must:
- Be at least 16 years of age
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Service under applicable laws
By using the Service, you represent and warrant that you meet these requirements.
3. The Service
3.1 Description
DigiCards is a mobile application that allows you to:
- Scan and digitize business cards using your device's camera
- Store and organize contact information
- Export contacts in various formats (Premium feature)
- Sync contacts with third-party CRM services (Premium feature)
- Set reminders for follow-ups (Premium feature)
3.2 Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for:
- Scheduled maintenance
- Emergency repairs
- Factors beyond our control
3.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that negatively affect your use of the Service.
4. User Accounts
4.1 Account Creation
To use the Service, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
4.2 Account Security
You agree to:
- Use a strong, unique password
- Not share your account credentials with others
- Log out of your account on shared devices
4.3 Account Termination
You may delete your account at any time through the app settings. We may suspend or terminate your account if you violate these Terms.
5. Subscriptions and Payments
5.1 Free and Premium Tiers

5.2 Premium Subscription
Premium subscriptions are billed at:
- Monthly: $9.99 CAD/month
- Annual: $99.99 CAD/year (save ~17%)
5.3 Billing and Renewal
- Subscriptions are billed in advance on a recurring basis
- Subscriptions automatically renew unless cancelled before the renewal date
- Payment is processed through Apple App Store or Google Play Store
- Prices may change with reasonable notice
5.4 Cancellation and Refunds
- You may cancel your subscription at any time through your device's app store
- Cancellation takes effect at the end of the current billing period
- No refunds for partial billing periods, except as required by law
- Refund requests should be directed to the respective app store
5.5 Free Trial
If we offer a free trial:
- You may be required to provide payment information
- You will not be charged until the trial ends
- Cancel before the trial ends to avoid charges
6. Acceptable Use
6.1 You Agree To:
- Use the Service only for lawful purposes
- Comply with all applicable laws and regulations
- Respect the privacy and rights of others
- Only scan business cards that you have lawfully obtained
6.2 You Agree NOT To:
- Use the Service for any illegal purpose
- Upload content that infringes intellectual property rights
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Use automated methods to access the Service (bots, scrapers)
- Reverse engineer or decompile the application
- Collect personal information of others without consent
- Use the Service for spam, phishing, or harassment
- Resell or redistribute the Service without authorization
Important: You are responsible for ensuring you have the right to use, store, and share any business card information you upload to the Service. We are not responsible for your compliance with privacy laws regarding contacts you add.
7. User Content
7.1 Your Content
You retain ownership of all content you upload to the Service, including scanned business card images and contact information ("User Content"). By uploading User Content, you grant us a limited license to:
- Store and process your content to provide the Service
- Create backups for service reliability
- Display your content back to you within the app
7.2 Content Responsibility
You are solely responsible for:
- The accuracy of information you upload
- Ensuring you have the right to use and store such information
- Compliance with privacy laws regarding personal information you collect
7.3 OCR Accuracy
Our optical character recognition (OCR) technology attempts to accurately extract text from business cards, but we do not guarantee 100% accuracy. You should verify extracted information for important contacts.
8. Third-Party Services
The Service integrates with third-party services including:
- Google Contacts: For syncing contacts to your Google account
- HubSpot: For CRM integration
- Google Cloud Vision: For OCR processing
Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions or content of third-party services.
9. Intellectual Property
9.1 Our Intellectual Property
The Service, including its design, features, code, and content (excluding User Content), is owned by DigiCards and protected by intellectual property laws. You may not:
- Copy, modify, or distribute the Service
- Use our trademarks without permission
- Create derivative works based on the Service
9.2 Feedback
If you provide feedback or suggestions about the Service, you grant us the right to use such feedback without compensation or attribution.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We specifically disclaim warranties regarding:
- Accuracy or reliability of OCR results
- Uninterrupted or error-free service
- Fitness for a particular purpose
- Security from all threats (though we implement reasonable measures)
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 CAD, whichever is greater
- We are not liable for any loss of data, business opportunities, or profits
Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the minimum extent permitted by law.
12. Indemnification
You agree to indemnify and hold harmless DigiCards, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your User Content
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
13.2 Informal Resolution
Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at legal@digi-cards.app. We will attempt to resolve the dispute within 30 days.
13.3 Jurisdiction
If informal resolution fails, any legal proceedings shall be brought in the courts of Ontario, Canada. You consent to the exclusive jurisdiction of such courts.
13.4 Class Action Waiver
To the extent permitted by law, you agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
14. Termination
14.1 By You
You may terminate your account at any time by deleting it through the app settings.
14.2 By Us
We may suspend or terminate your account if:
- You violate these Terms
- Your use poses a security risk
- We are required to do so by law
- We discontinue the Service
14.3 Effect of Termination
Upon termination:
- Your right to use the Service ends immediately
- We may delete your data (unless retention is required by law)
- Provisions that should survive termination will remain in effect
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and DigiCards regarding the Service.
15.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
15.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
15.4 Assignment
You may not assign your rights under these Terms. We may assign our rights to any successor or affiliate.
15.5 Force Majeure
We are not liable for failures or delays caused by circumstances beyond our reasonable control (natural disasters, war, government actions, internet outages, etc.).
16. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms with a new "Last Updated" date
- Sending an email notification for significant changes
- Displaying a notice in the app
Your continued use after changes constitutes acceptance. If you disagree with changes, you should stop using the Service and delete your account.

18. Additional Terms for App Stores
18.1 Apple App Store
If you download the app from Apple's App Store:
- These Terms are between you and DigiCards, not Apple
- Apple has no obligation to provide maintenance or support
- Apple is not responsible for any claims related to the app
- Apple is a third-party beneficiary of these Terms
18.2 Google Play Store
If you download the app from Google Play:
- These Terms are between you and DigiCards, not Google
- Google has no obligation to provide maintenance or support
- Google is not responsible for any claims related to the app
